By accessing or using ComplyKeep's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

ComplyKeep provides automated website accessibility scanning services that test web content against WCAG 2.1 Level AA technical criteria. Our services include:

• Automated accessibility scans of websites
• Technical reports showing pass/fail status against WCAG 2.1 AA criteria
• Guidance on accessibility issue remediation
• Ongoing monitoring services (for subscribed customers)

3. No Legal Advice or Compliance Guarantee

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• ComplyKeep is not a law firm and does not provide legal advice
• Our scans and reports reflect technical accessibility criteria only
• Passing our automated scan does not constitute legal compliance with ADA, EAA, or any other accessibility law
• Legal compliance determinations must be made by qualified legal counsel
• We make no representations or warranties regarding your legal compliance status
• Use of our service does not guarantee protection from accessibility-related lawsuits or regulatory actions

4. Limitations of Automated Testing

You understand that:

• Automated testing can identify approximately 25-30% of WCAG 2.1 AA criteria
• Many accessibility issues require manual testing to identify
• Our reports may not identify all accessibility issues on your website
• Technology limitations may result in false positives or false negatives
• Regular human accessibility audits are recommended in addition to our automated scans

5. User Responsibilities

You agree to:

• Provide accurate website URLs for scanning
• Ensure you have authority to scan the submitted websites
• Not use our service for any illegal or unauthorized purpose
• Not attempt to circumvent any technical limitations or security measures
• Consult qualified legal counsel for compliance determinations

6. Payment and Refunds

Payment: All fees are charged in advance. Subscription fees are non-refundable except as required by law.

Refund Policy: Emergency scans (€49) are refundable if we cannot complete the scan due to technical limitations. Monthly subscriptions may be canceled at any time; refunds are prorated for unused days in the current billing period.

7. Intellectual Property

All reports generated for your account are your property. ComplyKeep retains ownership of our scanning technology, methodology, and aggregated anonymized data for service improvement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ComplyKeep shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid for services in the preceding 12 months
• We are not liable for: (a) legal proceedings related to accessibility; (b) damages arising from your reliance on our reports for legal compliance; (c) losses due to third-party actions

9. Indemnification

You agree to indemnify and hold ComplyKeep harmless from any claims arising from your use of our services, your website content, or your violation of these terms.

10. Governing Law

These terms are governed by the laws of Ireland. Any disputes shall be resolved in the courts of Ireland.

11. Changes to Terms

We may update these terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email.
